PROPHETA.IO — OFFICIAL RULES & TERMS

This document contains (1) the Official Rules for the Propheta Rewards Promotion and (2) the Propheta.io Terms of Service. If there is any conflict between the Promotion Official Rules and the Terms of Service, the Official Rules control only for the Promotion.

1) OFFICIAL RULES — PROPHETA REWARDS PROMOTION (LEADERBOARDS + PRC)

Payments & Deposits (Important Disclosure)

Propheta does not custody user funds for third-party markets. If you choose to purchase Propheta utility credits (Tokens / “TKN”), card deposits/top-ups are processed by Stripe, and Thewolfpack, LLC is the merchant of record for such payment transactions. Payment processors handle payment card details; Propheta generally receives transaction status and limited metadata.

1. NO PURCHASE NECESSARY

No purchase or payment is necessary to participate or win. A purchase does not increase your chances of winning.

2. PROMOTION OVERVIEW

This Promotion awards Propheta Reward Credits ("PRC") to eligible participants based on leaderboard ranking during defined Promotion Periods. PRC are promotional, non-cash, and redeemable only inside Propheta (see Section 6.5).

3. ELIGIBILITY (GLOBAL)

Open worldwide where permitted by law to individuals who are 18+ (or the age of majority where you live), excluding Restricted Jurisdictions (Section 5).

By participating, you represent and warrant: you meet age requirements; your participation is lawful where you are located and where you reside; and you are not a resident of or located in any Restricted Jurisdiction.

Sponsor may require identity/eligibility verification and may deny participation for compliance reasons (including sanctions/OFAC screening).

4. PROMOTION PERIODS

Weekly and/or Monthly periods ("Promotion Periods") as displayed in-app. Start/end times, scoring rules, and PRC distribution for each Period will be posted in-app before the Period ends.

5. JURISDICTION & PARTICIPANT RESPONSIBILITY (MAXIMUM DELEGATION)

You are solely responsible for determining whether your participation is lawful in your jurisdiction. If you are unsure, do not participate.

5.1 Restricted Jurisdictions (Promotion Not Offered)

Sponsor does not offer Rewards/Leaderboards in the jurisdictions below due to regulatory complexity, and participation is void there:

  • Brazil
  • Italy
  • Japan
  • Australia
  • Ireland
  • Any other jurisdiction designated in-app as restricted.

5.2 Sanctions / Prohibited Locations

The Promotion is not available in jurisdictions subject to broad sanctions or embargoes, including (without limitation) Cuba, Iran, North Korea, Syria, and any comprehensively sanctioned region/territory, and anywhere prohibited by law.

5.3 Enforcement / Geofencing / VPN

Sponsor may use geolocation, IP checks, device signals, and verification controls to enforce restrictions. Use of VPNs/proxies to bypass restrictions voids participation, forfeits PRC, and may result in suspension/termination.

6. DEFINITIONS (COMPLIANCE FIREWALL)

6.1 Tokens (TKN): Utility credits used to access certain Propheta features. TKN are not money, not stored value, not prizes, and have no cash value.

6.2 Leaderboard Points (PTS): A scoring metric used only to rank participants. PTS cannot be purchased. Buying tokens never grants PTS.

6.3 Signals:

  • Eligible Signal: A signal that may be used to create Leaderboard-Eligible Entries that can earn PTS and compete for PRC. Eligible Signals are provided equally to all users (e.g., a fixed daily quota) regardless of token purchases.
  • Non-Eligible Signal: Additional signals/insights for training/analytics only. Entries created using Non-Eligible Signals do not earn PTS and are not PRC-eligible. Purchased packs may include Non-Eligible items only and never increase Eligible Signals.

6.4 Entry Types:

  • Leaderboard-Eligible Entry: An entry created using an Eligible Signal and meeting the in-app scoring rules for the Period.
  • Daily Free Entry (DFE): If enabled, one free entry per day with no token charge. DFE is not leaderboard-eligible and not PRC-eligible.

6.5 Rewards (PRC): Promotional in-app credits that are not cash, not crypto, not gift cards, not withdrawable, not transferable, and have no value outside the Service. PRC are redeemable only for limited in-app items disclosed at redemption (e.g., fee credits, Non-Eligible Signals, analytics unlocks). No cash alternative is offered.

7. HOW TO PARTICIPATE (NO PURCHASE PATH IS REAL)

All eligible users receive the same daily quota of Eligible Signals and may create Leaderboard-Eligible Entries. No purchase required.

Optional token purchases may unlock Non-Eligible items only and do not increase Eligible Signals, do not grant PTS, and do not improve chances of winning PRC.

8. SCORING (PTS)

PTS are awarded only for Leaderboard-Eligible Entries and calculated using the scoring rules posted in-app for the Period.

  • Entries using Non-Eligible Signals: PTS = 0
  • DFE: PTS = 0

Sponsor may apply caps/limits (entries/day, PTS/day, etc.) to protect integrity.

9. WINNER DETERMINATION & TIEBREAKERS

Winners are determined by leaderboard rank at Period end. Ties are broken by:

  • higher win-rate on leaderboard-eligible entries;
  • earlier timestamp of last leaderboard-eligible entry;
  • random draw among tied participants where lawful.

10. U.S. STATE-SPECIFIC TERMS (NY/FL CAP BY DEFAULT)

Sponsor may run separate Promotion Periods and separate PRC pools for residents of certain U.S. states.

New York (NY) and Florida (FL): Residents of NY and FL participate only in NY-only or FL-only Promotion Periods with a separate PRC pool that Sponsor intends to keep at or below $5,000 total announced value (ARV equivalent) per Period by default. If a Period would otherwise exceed this amount, Sponsor will reduce/cap the pool and/or distribution for NY/FL so the total announced value does not exceed $5,000.

11. CANADA NOTICE (IF ENABLED)

If Sponsor enables the Promotion in Canada, a potential winner may be required to correctly answer a skill-testing question as a condition of receiving PRC, where required.

12. THIRD-PARTY PLATFORM DISCLAIMER (INCLUDING KALSHI)

Propheta may integrate with third-party platforms (e.g., Kalshi). Third parties determine market rules, fees, and settlement. You are responsible for reviewing and complying with third-party agreements and market rules. Sponsor does not control and does not guarantee third-party outcomes.

13. VERIFICATION, ABUSE, & DISQUALIFICATION

Sponsor may require verification and may disqualify any participant for fraud, automation, multi-accounting, manipulation, exploitation, misrepresentation of eligibility/residency, or violation of these Rules. Entries from Restricted Jurisdictions are void; PRC is forfeited. Sponsor may withhold or reverse PRC for suspected abuse or legal compliance obligations.

14. CORRECTIONS; SERVICE ISSUES; FORCE MAJEURE

Sponsor may correct scoring/ranking errors caused by technical issues in a manner intended to preserve fairness and integrity. Sponsor is not responsible for delays or failures due to events beyond its reasonable control (including outages of third-party services).

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Sponsor is not responsible for outages, interrupted service, third-party failures, settlement decisions by third parties, or lost/delayed data.

16. GOVERNING TERMS

These Official Rules incorporate by reference the Propheta Terms of Service below. If there is a conflict, these Official Rules control for the Promotion only.

1. ACCEPTANCE

By accessing or using Propheta.io and related services (the "Service"), you agree to these Terms, the Privacy Policy, and any Promotion Official Rules. If you do not agree, do not use the Service.

2. NOT A SPORTSBOOK / CASINO / EXCHANGE / BROKER

Propheta provides software, analytics, and signals. Propheta is not a sportsbook, casino, exchange, broker, FCM, payment processor, wallet custodian, or financial institution. Propheta does not custody user funds and does not settle third-party markets.

3. PAYMENTS; STRIPE; MERCHANT OF RECORD

If you purchase Propheta Tokens (TKN) or other in-app utility items:

  • Stripe processes card payments.
  • Thewolfpack, LLC is the merchant of record for those payment transactions.
  • Payment processors generally handle payment card details. Propheta typically receives confirmation/status and limited metadata.

Chargebacks, reversals, suspected fraud, or policy violations may result in suspension/termination and forfeiture/reversal of promotional credits or access, to the extent permitted by law.

4. THIRD-PARTY PLATFORMS (INCLUDING KALSHI)

If you connect to or use a third-party platform through the Service, you do so under that third party’s terms and rules. Third parties determine contract availability, pricing, fees, and settlement. Propheta does not control and does not guarantee third-party outcomes.

5. NO ADVICE; NO GUARANTEES

Signals, analytics, and "oracle logic" are informational/entertainment only and are not financial, legal, or tax advice. Outcomes are uncertain, and you assume all risk.

6. TOKENS (TKN) — UTILITY ONLY

TKN are utility credits for features. TKN are not money, not stored value, not prizes, not securities, and not redeemable for cash. Free and purchased tokens have the same utility.

7. SUCCESS FEE (“FEE ON WIN”)

If enabled, Propheta may charge tokens only if an eligible entry results in a win; if it loses, token fee = 0. Fees and any caps are disclosed before confirmation.

8. SIGNAL TYPES & COMPETITION INTEGRITY

Eligible Signals are provided equally to all users. Non-Eligible Signals may be sold in packs but do not grant PTS and cannot be used for reward-eligible leaderboard entries. Purchases do not improve odds or ranking.

9. LEADERBOARD POINTS (PTS)

PTS are not purchasable and accrue only through leaderboard-eligible entries under posted scoring rules. Propheta may apply caps/limits to prevent abuse.

10. REWARDS (PRC)

If offered, PRC are promotional in-app credits: not cash, not withdrawable, not transferable, and redeemable only for limited in-app items disclosed at redemption. Propheta may withhold/reverse PRC for fraud, abuse, chargebacks, reversals, or violations.

11. USER COMPLIANCE; SELF-CERTIFICATION; INDEMNITY

You are solely responsible for determining whether using the Service and participating in Promotions is lawful in your jurisdiction. You represent you meet age/eligibility requirements and are not located in or a resident of Restricted Jurisdictions, and you will not use VPNs/proxies to bypass restrictions. You agree to indemnify and hold Propheta harmless from claims arising from your misrepresentation or violations.

12. PROHIBITED CONDUCT

No automation/bots, multi-accounting, manipulation, exploitation, scraping, reverse engineering, or bypass attempts. We may suspend/terminate accounts for violations.

13. INTELLECTUAL PROPERTY; LICENSE

The Service and its content are owned by Sponsor/licensors. We grant you a limited, revocable, non-transferable license for lawful personal use.

14. TERMINATION; SUSPENSION

We may suspend or terminate access at any time for compliance, risk, or violation reasons. You may stop using the Service at any time.

15. DISCLAIMERS; LIMITATION OF LIABILITY

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” To the maximum extent permitted by law, Propheta disclaims warranties and will not be liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, data, goodwill, or third-party actions/settlements.

16. DISPUTE RESOLUTION; ARBITRATION; CLASS WAIVER

To the maximum extent permitted by law, disputes must be resolved by binding individual arbitration administered by AAA under its Consumer Arbitration Rules, with a class action waiver. If arbitration or the class waiver is unenforceable in your jurisdiction, disputes will be brought exclusively in courts located in Delaware and governed by Delaware law.

Opt-Out: You may opt out of arbitration within 30 days of first accepting these Terms by emailing compliance@propheta.io with your name, account email/phone, and a clear statement that you opt out of arbitration.

17. CHANGES

We may update these Terms prospectively by posting updates. Continued use constitutes acceptance.
